Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.
On June 12, 2018, Newgioco Group, Inc. (the "Company") filed a definitive information statement on Schedule 14C with the Securities and Exchange Commission with respect to an amendment to the Company’s Amended and Restated Certificate of Incorporation (the “Certificate of Incorporation”) to increase the Company’s authorized capital stock from 100,000,000 shares to 180,000,000 shares of which 160,000,000 shares will be designated common stock, par value $0.0001 per share, and 20,000,000 shares will be designated preferred stock, par value $0.0001 per share (the “Amendment”).
On July 5, 2018, the Company filed the Amendment with the Delaware Secretary of State.
The foregoing description of the Amendment to the Company’s Certificate of Incorporation is not complete and is qualified in its entirety by reference to the full text of the Amendment, a copy of which is filed as Exhibit 3.1, to this Current Report on Form 8-K and is incorporated by reference herein.
