Item 8.01. Other Events.
On June 13, 2007, Ditech Networks, Inc. announced that its Board of Directors had approved the repurchase of approximately $60 million of its shares of common stock, and that Ditech Networks intends to utilize the majority of this authorization to conduct a “Dutch Auction” tender offer to purchase up to $50 million of its shares of common stock. Ditech Networks plans to commence the tender offer and announce the price range in late August 2007. A copy of this press release is filed as part of this Current Report on Form 8-K as exhibit 99.1 and is incorporated herein in its entirety by reference.
