Following a review of the agreement dated December 1987 among certain shareholders of Alimentation Couche-Tard Inc., namely Développements Orano Inc. ("Orano") and Metro Inc ("Metro"), Orano and Metro executed a revised shareholders' agreement dated as of March 8, 2005 (the "Agreement") with respect to their participation in the Company. An English summary of the rights and obligations of the parties under the Agreement is attached to this report as Exhibit 99.1, and is hereby incorporated by reference.
