Item 2.03 Creation of a Direct Financial Obligation or an Obligation under an Off-Balance Sheet Arrangement of a Registrant.
On November 25, 2008 The United Illuminating Company (UI), a wholly owned subsidiary of UIL Holdings Corporation (the “Registrant”) entered into a revolving credit agreement (the “Agreement”) with Union Bank of California, N.A. (“UBOC”) that extends to May 25, 2009. The borrowing limit under the facility is $25 million. The facility permits borrowings at fluctuating interest rates, based on UBOC’s Reference Rate and the Federal Funds Rate, as defined in the Agreement, and also permits borrowings for fixed periods of time specified by UI at fixed interest rates determined by the Eurodollar interbank market in London (LIBOR). As of December 1, 2008, UI did not have any short-term borrowings outstanding under the new facility.
