Item 2.02 Results of Operations and Financial Condition
On November 4, 2013, UIL Holdings Corporation (the Registrant or UIL Holdings) issued a press release that announces its financial results for the three- and nine-month periods ended September 30, 2013 and affirms its 2013 consolidated earnings guidance. A copy of the Registrant's press release is attached hereto and incorporated by reference herein as Exhibit 99.1.

UIL Holdings will conduct a webcast conference call with financial analysts on Tuesday, November 5, 2013, beginning at 10:00 a.m. eastern time. UIL Holdings' executive management will present an overview of the financial results followed by a question and answer session.
