Item 7.01 | Regulation FD Disclosure |
On November 12, 2013, Richard J. Nicholas, Vice President and Chief Financial Officer of UIL Holdings Corporation (the Registrant or UIL Holdings), will give a presentation in Orlando, Florida at the 48th Annual EEI Financial Conference. A copy of the Registrant's presentation is attached hereto as Exhibit 99.1.
Use of Non-GAAP Measures
The Registrant’s presentation included as Exhibit 99.1 provides an earnings breakdown presented on a net income and per share basis. Management of UIL Holdings believes this is useful in understanding the change in the consolidated results of operations for UIL Holdings from one reporting period to another. UIL Holdings presents such per share amounts by taking the pretax amounts determined in accordance with generally accepted accounting principles (GAAP), and applying UIL Holdings' combined effective statutory federal and state tax rate and then dividing the results by the average number of diluted shares of UIL Holdings common stock outstanding for the periods presented. Any such amounts provided are provided for informational purposes only and are not intended to be used to calculate "Pro-forma" amounts.
The presentation also provides UIL Holdings’ earnings excluding certain regulatory disallowances identified therein, as well as earnings per share (EPS) information by line of business, both including and excluding such regulatory disallowances, and EPS guidance by line of business, all of which are non-GAAP presentations.. Management believes such presentations are useful in understanding and evaluating the actual and projected financial performance and contribution of UIL’s businesses. EPS by business is calculated by taking the pretax amounts determined in accordance with GAAP of each line of business, and applying the effective statutory federal and state tax rate and then dividing the results by the average number of diluted shares of UIL common stock outstanding for the periods presented. Total consolidated EPS is a GAAP-basis presentation.
