ITEM 5.02(b). DEPARTURE OF PRINCIPAL OFFICERS.
Derek Chang, Executive Vice President of Finance and Co-Interim Chief Financial Officer of Charter Communications, Inc. ("Charter"), the indirect parent company and manager of CC V Holdings, LLC and and CC V Holdings Finance, Inc., has informed Charter that he intends to resign from such positions with Charter and its subsidiaries, including us. Mr Chang's resignation will be effective April 15, 2005. The press release is attached hereto as Exhibit 99.1.
