Item 8.01 Other Events
On February 17, 2012, Fauquier Bankshares, Inc. (NASDAQ:FBSS) issued a press release announcing its Board of Directors approved a quarterly dividend of $0.12 per share, payable on April 2, 2012 to shareholders of record on March 16, 2012. In addition, the Board of Directors has determined the 2012 Annual Shareholders Meeting will be held on Tuesday, May 15, 2012. Shareholders of record at the close of business on March 9, 2012, will be entitled to vote.
A copy of the press release is attached as Exhibit 99.1 to this current report on Form 8-K.
