UDATE ANNOUNCES INTENTION TO REQUEST
ADJOURNMENT OF SPECIAL MEETING TO APRIL 4, 2003
Derby, England (March 24) – uDate.com, Inc. (OTCBB: UDAT) announced today that it intends to convene its special meeting of stockholders as scheduled on March 26. uDate also announced that, immediately upon convening the meeting, it will entertain a motion to adjourn the meeting to April 4, 2003. USA Interactive, which holds an irrevocable proxy granted by uDate’s two principal stockholders covering approximately 64% of the outstanding shares of uDate’s stock, has advised uDate that it will vote those shares in favor of adjourning the special meeting.
uDate is party to a merger agreement with USA Interactive, a subsidiary of USA Interactive, and for certain purposes, uDate’s two principal stockholders. The merger agreement provides for the merger of the USA Interactive subsidiary into uDate, with uDate becoming a subsidiary of USA Interactive. In connection with the execution of the merger agreement, uDate’s two principal stockholders granted USA Interactive the irrevocable proxy described above. If the motion to adjourn the special meeting is adopted, then at the reconvened special meeting, uDate’s stockholders will be asked to consider and vote upon a proposal to adopt and approve the merger agreement and the merger.
The purpose of the adjournment is to give uDate’s stockholders time to consider the prospectus supplement that uDate anticipates will first be mailed to them on or about March 25, 2003. The prospectus supplement describes USA Interactive’s announcement that it has entered into an agreement with Expedia by which USA Interactive, already the majority owner of Expedia, would acquire the Expedia shares it does not currently own.
The record date for the special meeting will remain February 7, 2003.
USA Interactive has informed uDate that, at the reconvened special meeting, it will vote the shares of uDate’s stock for which it holds the irrevocable proxy in favor of the adoption and approval of the merger agreement and the merger. As noted above, USA Interactive holds a proxy for approximately 64% of the shares outstanding on the record date for the special meeting.
