Item 7.01 Regulation FD Disclosure
On January 4, 2023, Flux Power Holdings, Inc. (the “Company”) issued a press release which included a letter to its shareholders from the Company’s Chief Executive Officer providing, among other things, a corporate update for corporate initiatives accomplished during the calendar year ended 2022 and certain forward-looking projections. The projections included in the press release involve risks and uncertainties, the outcome of which cannot be foreseen at this time and, therefore, actual results may vary materially from these forecasts. In this regard, see the information included in the press release under the caption “Forward-Looking Statements.” A copy of the press release is attached hereto as Exhibit 99.1, and is incorporated herein by reference.
