Section 2 - Financial Information
Item 2.03 Creation of a Direct Financial Obligation or an Obligation under an Off-Balance Sheet Arrangement of a Registrant.
On April 1, 2005, the Registrant executed a promissory notepayable to DaVinci-Franklin Fund I, LLC in the amount of $150,000 (the "Note") plus interest according to the provisions provided in the Promissory Note attached hereto as Exhibit 10-1. The Note is secured by a Second Mortgage on the Registrant's real property located at 4235 Commerce Street, Little River, SC 29566. Pursuant to the terms of the Note, payment of principal and interest is due in full on or before August 29, 2005, which may be extended to October 28, 2005 under certain conditions.
