Explanation of Responses:

1. The reporting person received a restricted stock award subject to a three-year vesting schedule, vesting 33.34% on January 1, 2022, 33.33% on January 1, 2023, and 33.33% on January 1, 2024. Upon vesting, the reporting person will receive a number of shares of common stock equal to the number of restricted stock shares that have vested.

2. Shares of Common Stock are held by Ms. Lagomarsino as Trustee of the Allan and Lagomarsino Revocable Trust UAD 2/10/2017, as amended. Ms. Lagomarsino possesses the voting and investment power with respect to the shares of Common Stock held by the trust.
