Item 8.01. Other Events.
On June 2, 2022, Worthington Industries, Inc. (the "Registrant") announced that its Consumer Products business segment acquired Level5® Tools, LLC ("Level5"), a leading provider of drywall tools and related accessories. The purchase price for the acquisition of Level5, which closed on June 2, 2022, was approximately $55.0 million, with a potential earn out of up to $25.0 million based upon performance through 2024, and was sourced primarily from the Registrant’s existing cash, together with borrowings under the Registrant’s existing revolving credit facility.
Level5, which will operate within the Registrant’s Consumer Products business segment, employs approximately 30 people and is headquartered in Kansas City, Kansas.
