ITEM 7.01. REGULATION FD DISCLOSURE.
Effective on January 28, 2005, Charter Communications, Inc. ("Charter"), the indirect parent company and manager of Charter Communications Holdings, LLC and Charter Communications Holdings Capital Corporation, will eliminate the position of Chief Administrative Officer, resulting in the separation of Steven A. Schumm, Executive Vice President and Chief Administrative Officer from Charter and each of Charter's subsidiaries for which Mr. Schumm serves as an officer, including us.
