ITEM 5.02(b). DEPARTURE OF PRINCIPAL OFFICERS.
Derek Chang, Executive Vice President of Finance and Co-Interim Chief Financial Officer of Charter Communications, Inc. ("Charter"), the indirect parent company and manager of Charter Communications Holdings, LLC and Charter Communications Holdings Capital Corporation, has informed Charter that he intends to resign from such positions with Charter and its subsidiaries, including us. Mr Chang's resignation will be effective April 15, 2005. The press release is attached hereto as Exhibit 99.1.
