Item 5.03. Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.
On March 19, 2009, Pennsylvania Commerce Bancorp, Inc. shareholders approved a proposal to amend the company’s Articles of Incorporation to increase the number of authorized shares of Pennsylvania Commerce common stock to 25,000,000. The Amendment will be effective upon filing with the Pennsylvania Secretary of State.
Item 8.01. Other Events
On March 19, 2009, Pennsylvania Commerce Bancorp, Inc. issued a press release announcing that Pennsylvania Commerce Bancorp Shareholders approved the proposal to acquire and merge with Republic First Bancorp.
