Item 8.01. Other Events.
On June 19, 2009, without increasing the available shares for issuance, the Board of Directors of Metro Bancorp, Inc. amended the Company’s Dividend Reinvestment and Stock Purchase Plan as follows: Effective July 1, 2009, the Dividend Reinvestment and Stock Purchase Plan allows for voluntary cash payments to invest in additional shares of the Company of not less than $100 per month and not more than $25,000 per month.
