On July 27, 2005, Paul G. Shorthose resigned as a director and as chairman of our board. Our director Daniel C. Regis was elected to succeed Mr. Shorthose as chairman of our board. A copy of the press release we issued on July 28, 2005 announcing Mr. Shorthose’s resignation and the election of Mr. Regis is attached as exhibit 99.1 and incorporated herein by reference.
