Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
(e) On May 13, 2010, deltathree, Inc. (the “Company”) and Ziv Zviel, the Company’s Chief Financial Officer and Treasurer, entered into Amendment #1 (“Amendment #1”) to the Offer of Employment Letter between the Company and Mr. Zviel dated as of June 18, 2009 (the “Offer Letter”). The material terms and conditions of the Offer Letter were summarized in, and a copy of the Offer Letter was attached as Exhibit 99.1 to, the Company’s Current Report on Form 8-K filed with the SEC on June 18, 2009. Pursuant to the terms of Amendment #1, Mr. Zviel’s base salary was increased from $9,000 per month to $11,000 per month, effective as of May 5, 2010. All of the other terms and conditions of the Offer Letter remain the same.
A copy of Amendment #1 is attached as Exhibit 10.1 hereto.
