Item 8.01 Other Events.
On March 12, 2014, InterMune, Inc. issued a press release announcing that it plans to offer, subject to market and other conditions, shares of its common stock in an underwritten public offering pursuant to the Company’s effective shelf registration statement. The press release is attached as Exhibit 99.1 to this Current Report on Form 8-K and incorporated herein by reference.
In addition, in connection with the proposed public offering, InterMune has updated the risk factors contained in its periodic reports filed under the Securities Exchange Act of 1934, as amended. A copy of the updated risk factors is attached as Exhibit 99.2 to this Form 8-K and incorporated herein by reference
