1. The reporting person has elected to defer the receipt of 4666 shares of common stock granted pursuant to the provisions of the Issuer's 2014 Stock Incentive Plan.

2. Each deferred stock unit represents a contingent right to receive one share of the Issuer's common stock.

3. The deferred stock units vest on the first anniversary of the grant date and will be settled 100% in shares of the Issuer's common stock as soon as practicable after the Reporting Person ceases to be a director of the Issuer.
