Item 1.01 Entry Into a Material Definitive Agreement.
On June 16, 2005, the Compensation Committee of the Board of Directors of Quest Software, Inc. (“Quest”) approved a compensation arrangement with Anthony Foley, Quest’s Senior Vice President, Worldwide Sales. Under the new compensation arrangement, Mr. Foley’s base salary is £133,800 and Mr. Foley is also entitled to receive commission payments in amounts based on percentages of actual sales of Quest software products. If sales of Quest software products during 2005 are equal to the quota established for Mr. Foley, his “on-target commissions” for 2005 would total US$220,443 and he would also be entitled to an additional non-discretionary bonus payment of US$40,000.
