ITEM 5.07. SUBMISSION OF MATTERS TO A VOTE OF SECURITY HOLDERS
On June 2, 2010, the Annual Meeting of Stockholders of Dick’s Sporting Goods, Inc. (the “Company”) was held. The following proposals were submitted by the Board of Directors to a vote of stockholders and the final results of the voting on each proposal is noted below.
Proposal No. 1 — Election of Directors
The following two (2) directors were nominated to serve as Class B Directors for three-year terms expiring at the annual meeting of stockholders to be held in 2013, or when their successors are otherwise duly elected and qualified. The two (2) directors, as indicated below, were elected as directors of the Company.

Proposal No. 3 — Approval of the Company’s Amended and Restated 2002 Stock and Incentive Plan
