(c) The Reporting Person is a Director of Big Cat Energy Corp, 121 W. Merino St. PO Box 500, Upton, WY 82730 and his principal occupation is work as a business consultant through his company Wharton Consulting.

Item 3. Source and Amount of Funds or Other Consideration.
Warrants to purchase 100,000 shares were acquired by the Reporting Person in connection with a consulting agreement entered into with the Company on August 16, 2009. The warrants are exercisable at $0.14 per share and expire on August 16, 2014. Options to purchase 200,000 shares were acquired by the Reporting Person effective January 4, 2010 in connection with his appointment as a member of the Board of Directors of the Company. The exercise price of the options is $0.15 per share and the options become exercisable on January 4, 2011 and expire on January 4, 2015. The Reporting Person accepted 240,000 shares of restricted common stock of the Company in March 2010 valued at $.05 per share in lieu of cash payment for the period Febru ary 16, 2010 to March 15, 2010 under his consulting contract with the Company.

Shares shown as beneficially owned above include shares underlying presently exercisable warrants to purchase 100,000 shares and options to purchase 200,000 shares which become exercisable within 60 days.
Item 6. Contracts, Arrangements, Understandings or Relationships With Respect to Securities of the Issuer.
The Reporting Person is the stepbrother to a principle shareholder of the Company, Michael Fredrick Schaefer, who holds beneficially approximately 36.7% of the stock of the Company, (including 5,000,000 presently exercisable warrants held by Mr. Schaefer). Michael Schafer’s son Coalton Schaefer may own additional securities of the issuer.
