Item 1.01 Entry into a Material Definitive Agreement.
On Monday, January 30, 2006, Alaska Communications Systems Group, Inc. (the "Company") announced it executed definitive agreements with Crest Communications L.L.C. to assume ownership of fiber optic cable network assets. The Company's press release is attached as Exhibit 99.1 hereto and incorporated herein by reference.
