Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
Mr. John Egan resigned from his position as a member of our board of directors and from all committees of which he was a member, effective on January 20, 2011. Mr. Egan indicated that other obligations have reduced the time he has available to devote to being a director. There are no disagreements with Mr. Egan on any matter relating to our operations, policies or practices.
