Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.
On September 27, 2011, the Board of Directors of Alaska Communications Systems Group, Inc. (the "Company") approved amendments to and a restatement of the Company’s Amended and Restated Bylaws (as amended, the "Bylaws"), which were effective immediately upon their adoption. The amendments remove references to Rule 14a-11 of the Securities Exchange Act of 1934, as amended, from certain provisions of Articles II and III of the Bylaws regarding advance notice of stockholder business and stockholder nominations for directors. The amendments were made as a result of the decision of the U.S. Court of Appeals to vacate that rule and the announcement by the Securities and Exchange Commission of its decision not to appeal or further pursue it.
