Item 2.02 Results of Operations and Financial Condition. On August 2, 2005, Cleco Corporation (the "Company") reported earnings for the quarter and six months ended June 30, 2005. For additional information regarding the Company's earnings for these periods, please refer to the press release attached to this report as Exhibit 99.1 (the "Press Release"), which is incorporated by reference herein. The information in the Press Release is being furnished, not filed, pursuant to Item 2.02 of Form 8-K.
