Item 1.01 Entry into a Material Definitive Agreement.
On May 17, 2024, Cleco Corporate Holdings LLC (“Cleco Holdings”) entered into a revolving credit agreement under which it can, subject to the terms and conditions therein, borrow up to $175.0 million (the “Credit Agreement”). The Credit Agreement replaces Cleco Holdings’ existing revolving credit agreement and has a maturity date of May 17, 2029. Under the Credit Agreement, Cleco Holdings is required to maintain total indebtedness (not including securitization indebtedness) less than or equal to 65% of total capitalization. The borrowing costs under the Credit Agreement are currently equal to SOFR plus 1.725% or ABR plus 0.625%, plus commitment fees of 0.275% on the unused portion of the facility. The Credit Agreement includes customary covenants and representations and warranties. The Credit Agreement generally has similar terms to Cleco Holdings’ existing revolving credit agreement and extended the maturity date of Cleco Holdings’ revolving credit agreement.
