THE BOARD OF DIRECTORS RECOMMENDS A VOTE FOR THE PROPOSAL.
VOTE ON PROPOSAL
1. To approve a Plan of Reorganization whereby all of the assets and liabilities of Prudential Small-Cap Core Equity Fund, Inc. will be transferred to, and assumed by, Prudential Small-Cap Value Fund, a series of Prudential Investment Portfolios 5, in exchange for shares of Prudential Small-Cap Value Fund and the cancellation of all of the shares of Prudential Small-Cap Core Equity Fund, Inc., and Prudential Small-Cap Core Equity Fund, Inc. will be dissolved.
2. To transact such other business as may properly come before the meeting or any adjournments or postponements thereof.
