NOTICE OF NEW SUB-ADVISORY AGREEMENT
What is happening?
At a meeting held on May 23, 2019, the Board of Trustees of the Registrant (the “Board”) approved the removal of Goldman Sachs Asset Management, L.P. (“Goldman Sachs”) and the appointment of Brandywine Global Investment Management, LLC (“Brandywine Global” or the “New Sub-Adviser”) as sub-adviser to the Portfolio pursuant to a sub-advisory agreement effective August 9, 2019 (the “New Sub-Advisory Agreement”). A prospectus supplement describing these and other changes was mailed to shareholders on or about May 31, 2019.
The Portfolio and Voya Investments, LLC (“Voya Investments” or the “Adviser”) have obtained an exemptive order from the U.S. Securities and Exchange Commission (the “SEC”) that permits the Adviser to enter into a sub-advisory agreement with one or more sub-advisers, including certain affiliated sub-advisers, on behalf of a fund that it manages without obtaining shareholder approval of the new agreement subject to certain conditions, including that the Adviser furnishes shareholders of an affected fund with certain information about the new sub-advisory agreement or agreements. This Information Statement is intended to comply with that condition.
Who is the New Sub-Adviser?
Effective August 9, 2019, Brandywine Global became the sub-adviser to the Portfolio. Please see Appendix A for a listing of the names, address, and the principal occupations of the principal executive officers of the New Sub-Adviser.
Brandywine Global Investment Management, LLC
Brandywine Global provides the day-to-day portfolio management of the Portfolio. Brandywine Global has offices at 1735 Market Street, 18th Floor, Philadelphia, Pennsylvania 19103. Brandywine Global acts as adviser or sub-adviser to individuals, public funds, corporations, pension and profit sharing plans, Taft-Hartley Plans, endowments and foundations, as well as to investment company portfolios. As of June 30, 2019, Brandywine Global’s total assets under management were approximately $76.7 billion.
The following individuals are jointly responsible for the day-to-day management of the Portfolio.
David F. Hoffman, CFA, is a Managing Director of Brandywine Global and has been employed at Brandywine Global since 1995. Previously, he was president of Hoffman Capital, a global financial futures investment firm (1991-1995); head of fixed-income investments at Columbus Circle Investors (1983-1990); senior vice president and portfolio manager at INA Capital Management (1979-1982), and fixed-income portfolio manager at Provident National Bank (1975-1979).
John P. McIntyre, CFA, is a Portfolio Manager and has been employed at Brandywine Global since 1998. Previously he held positions as market strategist with McCarthy, Crisanti & Maffei, Inc. (1995-1998); senior fixed-income analyst with Technical Data, a division of Thomson Financial Services (1992-1995); quantitative associate with Brown Brothers Harriman & Co. (1990); and investment analyst with the Public Employee Retirement Administration of Massachusetts (1987-1989).
Anujeet Sareen, CFA, is a Portfolio Manager and has been employed at Brandywine Global since 2016. Previously, he was a managing director of global fixed-income and a global macro strategist, as well as chair of the Currency Strategy Group at Wellington Management in Boston. Over his 22-year career at Wellington (1994-2016), he held a variety of roles while cultivating extensive fixed-income and currency management experience.
Stephen S. Smith is a Managing Director of Brandywine Global and has been employed at Brandywine Global since 1991. Previously, he was with Mitchell Hutchins Asset Management, Inc. as managing director of taxable fixed-income (1988-1991); Provident Capital Management, Inc. as senior vice president overseeing taxable fixed-income (1984-1988); Munsch & Smith Management as a founding partner (1980-1984); and First Pennsylvania Bank as vice president and portfolio manager in the fixed-income division (1976-1980).
Who was the former sub-adviser?
The Portfolio was managed by Goldman Sachs until August 9, 2019 pursuant to a sub-advisory agreement, dated February 9, 2015 (the “Prior Sub-Advisory Agreement”). Goldman Sachs is an indirect wholly-owned subsidiary of The Goldman Sachs Group, Inc. and an affiliate of Goldman Sachs & Co. LLC. The principal address of Goldman Sachs is 200 West Street, New York, New York 10282.
How did this change affect the management of the Portfolio?
Mr. Hoffman, Mr. McIntyre, Mr. Sareen and Mr. Smith are now portfolio managers for the Portfolio, replacing the portfolio managers at Goldman Sachs.
Were there changes to the name of the Portfolio, its investment objective, or principal investment strategies?
As described in the supplement to the Portfolio’s prospectus dated May 31, 2019, in connection with the appointment of Brandywine Global as the sub-adviser to the Portfolio, the name of the Portfolio was changed from VY® Goldman Sachs Bond Portfolio to VY® BrandywineGLOBAL - Bond Portfolio and changes have been made to the Portfolio’s principal investment strategy. These changes to the Portfolio’s name and principal investment strategy were effective August 9, 2019. There was no change to the Portfolio’s investment objective.
