Item 8.01. Other Events.
On January 19, 2005, Selectica, Inc. (the “Company”) issued a press release announcing that it received a non-binding, conditional proposal from Trilogy, Inc., a private company, to acquire all the outstanding shares of the Company for $4.00 per share in cash. A copy of the press release is attached as Exhibit 99.1.
