Item 2.05. Costs Associated with Exit or Disposal Activities.
On November 15, 2006, Selectica, Inc. (“Selectica”) began to implement certain restructuring actions (the “Restructuring”) intended to better align Selectica’s expenses with its revenue levels and to enable the company to invest in certain strategic growth initiatives. The Restructuring will primarily consist of certain facilities-related expense reductions and, to a lesser extent, headcount reductions. Selectica’s management made a determination to proceed with the Restructuring on November 15, 2006, and expects the substantial majority of the Restructuring activities, including notification to affected employees, to be complete during the quarter ending December 31, 2006. The Restructuring is expected to lower Selectica’s quarterly cost structure by approximately $1.1 million by the quarter ending March 31, 2007.
Selectica estimates that the total charges resulting from the Restructuring are expected to range from $6.3 million to $6.5 million. Selectica estimates that the headcount reductions are expected to range from $500,000 to $600,000, all of which are expected to be recognized as cash expenses in the third quarter of its fiscal year 2007 ending December 31, 2006. Selectica estimates that the facility-related reductions are expected to range from $5.8 million to $5.9 million, all of which are expected to be recognized as cash expenses in the third quarter of its fiscal year 2007 ending December 31, 2006.
