Item 8.01       Other Events.

On April 14, 2011, the Staff of the Fort Worth office of the Securities and Exchange Commission notified Zale Corporation that the Staff has completed its investigation of the Company and does not intend to recommend any enforcement action by the SEC.  The investigation commenced in October 2009 and was previously disclosed in the Company’s public filings.
