ITEM 5.02(b). DEPARTURE OF PRINCIPAL OFFICERS.
Derek Chang, Executive Vice President of Finance and Co-Interim Chief Financial Officer of Charter Communications, Inc., ("the Company") has informed the Company that he intends to resign from such positions with the Company and its subsidiaries. Mr Chang's resignation will be effective April 15, 2005. The press release is attached hereto as Exhbit 99.1.
