A description of the 6.500% Senior Notes Due 2042 (the “Notes”), of Argo Group US, Inc. (“Argo US”), fully and unconditionally guaranteed (the “Guarantee”) by Argo Group International Holdings, Ltd. (“Argo Holdings,” and together with Argo US, the “Registrants”), to be registered hereunder is contained in the section entitled “Description of the Notes” in the prospectus included in the Registrants’ FormS-3 Registration Statement (File No. 333-183957), initially filed with the Securities and Exchange Commission on September 18, 2012, as amended from time to time (the “Registration Statement”), and is incorporated herein by reference. In addition, a description of the Notes and the Guarantee was included in a prospectus supplement filed on September 20, 2012 by the Registrants pursuant to Rule 424(b) of the Securities Act of 1933, as amended, relating to the Registration Statement, and such prospectus is incorporated herein by reference.
