Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.
On April 1, 2005, Lisa Musgrove, the executive vice president and chief operating officer of Civitas BankGroup, Inc., a Tennessee corporation (the “Company”) was named chief financial officer of the Company following the resignation of Andy LoCascio from that position on April 1, 2005. Ms. Musgrove will continue to serve as the Company’s executive vice president and chief operating officer in addition to serving as the chief financial officer. Ms. Musgrove, 42, has served as the executive vice president and chief operating officer of the Company since August 11, 2003. Prior to joining the Company, Ms. Musgrove served as the senior vice president and chief financial officer of Franklin Financial Corporation for nine years.
