Item 8.01 Other Events

Due to positive developments, which management believes has and will lead to a strengthening of the Company, the Company has elected not to access or use theequity line of credit with Dutchess Opportunity Fund, II, and will not file a registration on Form S-1 at this time.  This Equity Line of Credit is in relation to the Form 8K filed on January 19, 2010 regarding an Investment Agreement and Registration Rights Agreement entered into with Dutchess Opportunity Fund, II, LLP.  As reported in that 8K, the Company was required to file a Registration Statement in order to access funds made available to the Company under the Investment Agreement.
