Item 1.01
The Company has signed an acquisition agreement to acquire 494 UNR, Open Joint Stock Inc. for $51,250,000 in Promotora Valle Hermoso common stock. The value of the Promotora shares will be based upon the Thursday, March 19, 2008 closing market price of $2.50 per share. Upon successful completion of the financial audit and due diligence process, Promotora will issue UNR 20,500,000 PVHI common shares.
The company issued a Press Release on March 27, 2008.
