Explanation of Responses:

1. Represents options awarded under the Company's 2014 Omnibus Stock Ownership Plan in connection with the execution of Mr. Loiacono's employment agreement with the Company. 75,008 options shall vest immediately and the remaining options shall vest in 36 equal monthly installments of 15,972 options on the last day of each of the 36 months following the grant date. The option exercise price is the closing price on August 24, 2016 the trading day immediately prior to the award date.
