Item 7.01 Regulation FD Disclosure.
The information in this report (including the exhibit) is furnished pursuant to Item 7.01 and shall not be deemed “filed” for the purposes of Section 18 of the Securities Exchange Act of 1934, as amended, or otherwise subject to the liabilities of that Section. The furnishing of this report is not intended to constitute a determination by Progress Energy, Inc. (“Progress Energy”) that the information is material or that the dissemination of the information is required by Regulation FD.
On April 19, 2021, BNY Mellon as trustee under the Contingent Value Obligation (“CVO”) Agreement dated November 30, 2000 (the "CVO Agreement"), paid at Progress Energy’s direction a special one-time payment consisting of all amounts held by the CVO Trustee to the paying agent for the CVOs, for the pro rata benefit of each holder of record of a CVO on March 29, 2021. More information about this matter is contained in the Quarterly Report furnished on Form 8-K by Progress Energy dated March 24, 2021.
Progress Energy will not make any future payments to the Trustee or to the holders related to the CVOs, has certified to the CVO Trustee that it has satisfied all obligations required under the CVO Agreement, and will no longer prepare or furnish quarterly reports to the holders of the CVOs.
