On January 19, 2010, the Personnel and Compensation Committee of the Board of Directors of Teledyne Technologies Incorporated approved a form of stock option agreement for stock option grants made to participants in the stock option award program under the Teledyne Technologies Incorporated 2008 Incentive Award Plan, including the named executive officers identified in Teledyne’s Proxy Statement. A copy of the form of stock option agreement is attached as Exhibit 10.1 and incorporated herein by reference.
