On February 6, 2009, M&F Bancorp, Inc. (the "Company"), the parent company of Mechanics and Farmers Bank (“M&F Bank”) announced that the Board of Directors of the Company has elected James H. Speed, Jr., to serve as a director of the Company and also as a director of M&F Bank. Mr. Speed is expected to be named to serve on the Strategic Issues and Planning Committee of the Company and is expected to be named to serve on the Asset Liability Management Committee of M&F Bank. A copy of the Company's press release making these announcements is attached as Exhibit 99.1 and is incorporated by reference into this Item 5.02.
