ITEM 8.01 OTHER EVENTS.
The Board of Directors of M&F Bancorp, Inc. (the “Company”), has approved a regular cash dividend of $0.10 per share for the fourth quarter of 2004. The cash dividend is payable January 7, 2005 to shareholders of record on December 15, 2004.
In addition, the Board of Directors of the Company has approved a 100% stock dividend payable on January 10, 2005 to shareholders of record on December 20, 2004. A copy of the Company’s press release making these announcements is attached as Exhibit 99.1 and incorporated by reference into this Item 8.01.
