Item 2.02 Results of Operations and Financial Condition

     On September 2, 2010, Finisar Corporation (the “Company”) issued a press release to announce its results of operations for the quarterly period ended August 1, 2010. A copy of the Company’s press release was filed as Exhibit 99.1 to the Company’s Form 8-K Report dated September 3, 2010. Copies of the transcript of the conference call held by the Company on September 2, 2010 to discuss the results of operations for the quarterly period ended August 1, 2010 and slides presented during the conference call are furnished herewith as Exhibits 99.1 and 99.2.
