Explanation of Responses:

1. These shares represent restricted stock units granted to the Reporting Person and shall vest in four substantially equal annual installments beginning on January 11, 2019.

2. This option is exercisable when vested. This option will vest 20% on January 11, 2019 and remaining 80% will vest in fourteen substantially equal quarterly installments, with first such installment vesting on April 11, 2019 and the last on June 11, 2022.
