Item 2.02. Results of Operations and Financial Condition

On June 11, 2009, Finisar Corporation issued a press release announcing its preliminary financial results for the fourth quarter and fiscal year ended April 30, 2009. A copy of the press release is attached hereto as Exhibit 99.1.
