Item 2.02. Results of Operations and Financial Condition

On June 11, 2012, Finisar Corporation issued a press release announcing its financial results for the fourth quarter and fiscal 2012 ended April 30, 2012. A copy of the press release is attached hereto as Exhibit 99.1.
