Item 5.02(b) and (c). Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
Timothy J. McArdle, CPA, the current Chief Financial Officer (principal financial and accounting officer), will assume a new position for the Company as Financial Analyst as of May 1, 2010. Christopher D. Cook, CPA, MBA, 37, will become the new Chief Financial Officer (principal financial and accounting officer) as of May 1, 2010. Christopher has been with MutualBank since 1996 and has served as Profitability Analyst, Assistant Treasurer, Controller and Director of Finance. Since 2004, he has served as Controller and in 2007 became the Director of Finance. The Chief Financial Officer position is an annual appointment by the Company’s Board of Directors.
