Item 5.07. Submission of Matters to a Vote of Security Holders.
MutualFirst Financial, Inc. (the “Company”) held its Annual Meeting of Stockholders on May 4, 2017. Holders of record of the Company’s Common Stock at the close of business on March 6, 2017 were entitled to vote on three proposals at the Annual Meeting. The final voting results of each proposal are set forth below.

As a result of these votes, Linn A. Crull, Wilbur R. Davis and Charles J. Viater were duly elected as directors of the Company for terms to expire in 2020; the advisory (non-binding) resolution to approve the Company’s executive compensation as disclosed in the Proxy Statement was adopted by the stockholders; and the appointment of BKD, LLP as the Company’s independent registered public accounting firm for the year ending December 31, 2017 was ratified.
